تظهير الأوراق التجارية على بياض في النظام السعودي: دراسة تحليلية مقارنة Blank Endorsement of Commercial Papers in the Saudi System A Comparative Analytical Study

تعد الأوراق التجارية أدوات للوفاء والائتمان تجري مجرى النقود في التعاملات، وتؤدي دورًا مهمًا في الحياة التجارية وفي معاملات التجار، ورغم تطور وسائل الدفع الحديثة إلا أن الأوراق التجارية لا زالت محلّ اهتمام في النشاط الاقتصادي وفي التنظيم القانوني، وهي من ضمن الأنظمة التي أولاها المنظم السعودي عناية خاصة وأدرجها ضمن مشروع نظام المعاملات التجارية، وجعلها سندات تنفيذية يتم التنفيذ بموجبها من قبل محكمة التنفيذ من غير حاجة إلى أحكام قضائية وأظهرت مؤشرات وزارة العدل أرقامًا كبيرة في التعامل بها في الواقع العملي، وقد جاء هذا البحث لدراسة جزئية مهمة في الأوراق التجارية تتعلق بتظهير الأوراق التجارية على بياض وما يثيره من إشكالات قانونية ومخاطر عملية ومحاولة إيجاد حلول لها، معتمدًا على المنهج الوصفي والتحليلي المقارن، عبر خطة بحث مكونة من مبحثين: المبحث الأول: في مفهوم تظهير الورقة التجارية على بياض، ويتضمن تعريف هذا النوع من التظهير وبيان مزاياه ومخاطره والتمييز بينه وبين ما يشابهه من التصرفات، والمبحث الثاني: في شروط تظهير الورقة التجارية على بياض والحقوق التي يخولها للحامل، وصولًا لأهم النتائج والتوصيات التي تتمثل في اقتراح تعديل بعض المواد وحلول لبعض الإشكالات ونصائح للمتعاملين بتظهير الأوراق التجارية على بياض.
Commercial papers are tools for fulfillment and credit that function like money in transactions. They are among the systems given priority in the Saudi law as they are included within the draft commercial transactions system and considered executive documents to be executed by the executive authority without the need for judicial rulings. This research deals with an important point, which is the endorsement of commercial papers in blank and the legal problems and practical risks it raises. The research, which relies on a descriptive and comparative analytical approach, attempts to find solutions to this problem. It has two sections: The first deals with the endorsement of commercial papers in blank and includes the definition of this type of endorsement, an explanation of its advantages and risks, and the distinction between it and similar actions. The second section tackles the conditions for blank endorsement of commercial papers and the rights that it confers on the bearer. The research concludes with the most important results and recommendations, which are represented in proposing amendments to some articles, solutions to some problems, and advice for those dealing with blank endorsement of commercial papers.
